Abstract
Examines the provisions of the Companies Act 2006 s.172 and relevant case law. Refers to a report commissioned by the Department for Business, Innovation and Skills (BIS) assessing the awareness of and compliance with the provisions of the 2006 Act, highlighting a finding that greater clarity and guidance is needed to improve directors' awareness of s.172 and bring about behavioural change.
